1. Acceptance of terms
By accessing or using PrepWorks’ website, software, and services (collectively, the “Services”), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Services.
2. Description of services
PrepWorks provides operational software for FBA prep centers, including tools for receiving, prepping, labeling, and shipping inventory. We may update, modify, or discontinue any aspect of the Services at any time without prior notice.
3. Account registration
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
4. Subscription and billing
Free trial terms
We offer a 30-day free trial for new accounts. No credit card is required to start your trial. At the end of the trial period, you must select a paid subscription plan to continue using the Services.
Payment terms
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are non-refundable except as required by law or as explicitly stated in these terms.
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will continue to have access to the Services until the end of that period.
5. Acceptable use
You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services. You may not attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems connected to the Services.
6. Your data
You retain all rights to your data. We will not access, modify, or disclose your data except as necessary to provide the Services, comply with legal obligations, or with your consent. You grant us a limited license to process your data solely for the purpose of providing the Services to you.
7. Intellectual property
The Services and all content, features, and functionality are owned by PrepWorks and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Services without our prior written consent.
8. Service availability and limitations
We strive to maintain high availability of the Services but do not guarantee that the Services will be available at all times. We may experience downtime for maintenance, updates, or unforeseen technical issues. We are not liable for any loss or damage arising from service interruptions.
9. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
10. Disclaimers and limitation of liability
The Services are provided on an “as is” and “as available” basis without warranties of any kind. To the fullest extent permitted by law, PrepWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services.
11. Indemnification
You agree to indemnify, defend, and hold harmless PrepWorks and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another.
12. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.
13. Changes to terms
We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
